AdPrompt LLC, together with its subsidiaries, affiliates, successors, and assigns (collectively, "AdPrompt," "we," "us," or "our"), respects your privacy. This Privacy Policy explains how we collect, use, disclose, retain, and protect information when you visit our websites, use our web or mobile applications, access our AI-powered marketing and advertising platform, interact with our customer support, participate in our beta programs, or otherwise use our products and services.

This Privacy Policy applies to AdPrompt.ai, any other websites we own or operate, our web and mobile applications, our AI-powered marketing and advertising platform, and related tools, dashboards, integrations, campaign management features, creative tools, measurement tools, payment features, and related services (collectively, the "Platform" or "Services").

Our Services help businesses plan, create, launch, manage, measure, and optimize local and digital advertising campaigns; manage marketing assets; coordinate ad spend across channels; connect to third-party advertising platforms and marketing tools; and use AI-assisted workflows to improve marketing performance.

This Privacy Policy applies to website visitors, registered users of the Platform, customers and prospective customers, business contacts, individuals who communicate with us, users of our web or mobile applications, individuals whose information is processed in connection with the Services, and customer end users, prospects, or audiences whose information our customers submit to, connect to, or process through the Platform.

This Privacy Policy is incorporated into our Terms of Service and, where applicable, our Data Processing Addendum, customer agreements, order forms, and other agreements between you and AdPrompt.1. IMPORTANT ROLE DISTINCTION: CONTROLLER VS. PROCESSOR

AdPrompt processes different types of information in different roles.

1.1 Information We Process as a Controller

For information we collect about you as a website visitor, account holder, customer, prospective customer, business contact, or Platform user, AdPrompt generally acts as an independent controller (or the equivalent term under applicable law). This includes account registration information, billing and payment information, business profile information, Platform usage data, communications with us, marketing preferences, support requests, product analytics, security logs, and information collected through our websites and applications. When we act as a controller, we determine the purposes and means of processing your Personal Information, as described in this Privacy Policy.

1.2 Information We Process as a Processor, Service Provider, or Contractor

For certain personal information our customers submit, upload, connect, or otherwise make available to the Platform about their own customers, prospects, website visitors, users, or audiences, AdPrompt processes that information on behalf of our customer. This information is referred to in this Privacy Policy as "Customer Data." Customer Data may include customer lists, CRM records, email addresses, phone numbers, customer identifiers, audience data, first-party event data, pixel or tag data, campaign conversion data, transaction or purchase events, website or app activity events, lead-form submissions, ad performance data, and other information a customer chooses to process through the Platform. For Customer Data, AdPrompt generally acts as a processor, service provider, or contractor, as those terms are defined under applicable privacy and data protection laws. We process Customer Data only to provide the Services, as instructed by our customer, as permitted by our agreements, and as required or permitted by law. Our customers are responsible for ensuring that they have the necessary rights, notices, consents, permissions, and legal bases to provide Customer Data to AdPrompt and to use the Services.

2. SUMMARY OF OUR PRIVACY PRACTICES

This summary is provided for convenience and does not replace the full Privacy Policy.

- We are a B2B platform. Our Services are designed for businesses, not children or personal household use.
- We collect information needed to provide the Services, including account, business, billing, usage, device, communication, campaign, integration, and support information.
- We process Customer Data on behalf of our customers. When customers upload lists, connect CRM data, deploy pixels, or send campaign events to AdPrompt, we process that data according to customer instructions and applicable agreements.
- We use AI to power marketing workflows. Our AI features may help generate campaign ideas, creative content, budget suggestions, audience recommendations, channel recommendations, and optimization insights.
- We do not use identifiable Customer Data to build audiences for other customers.
- We do not use identifiable Customer Data to train general-purpose AI models. We may use aggregated, de-identified, or anonymized information to improve Platform functionality, provided it is not reasonably capable of identifying a customer, individual, household, or end user.
- We may use subprocessors and vendors, including cloud hosting providers, payment processors, analytics providers, email providers, customer support tools, security vendors, and AI infrastructure or model providers.
- We may share data with third-party platforms you connect.
- We do not sell Personal Information.
- You may have privacy rights. Depending on where you live, you may have rights to access, correct, delete, port, restrict, object to, or opt out of certain processing of your Personal Information.
- We honor applicable opt-out preference signals where required, including Global Privacy Control, as requests to opt out of sale, sharing, or targeted advertising.

3. INFORMATION WE COLLECT

We may collect Personal Information, Customer Data, technical information, usage information, and other information as described below.

3.1 Account and Contact Information
We may collect your name, business name, job title or role, email address, phone number, mailing address, username, login credentials, account ID, profile information, team or workspace membership, customer ID, billing contact information, and other information you provide when creating or managing an account.

3.2 Business Profile and Campaign Setup Information
To help configure the Platform and generate useful marketing recommendations, we may collect information about your business, including business name, business category or industry, business description, locations served, physical address or service area, website, social media accounts, brand information, target customers, marketing goals, products and services, campaign preferences, budget preferences, seasonality, promotions, creative preferences, preferred tone, voice, or vibe, local market information, and other information you provide to help us create or optimize campaigns.

3.3 Billing and Payment Information
We may collect billing and payment-related information, including billing name, billing address, tax information, invoice information, subscription plan, transaction records, payment status, account balance, ad spend records, and related financial administration information. We do not store full payment card numbers on our systems. Payment card information is processed by third-party payment processors on our behalf.

3.4 Communications and Support Information
We may collect information when you contact us, respond to surveys, participate in interviews, submit feedback, request support, join a beta program, attend an event, or otherwise communicate with us. This may include message content, email correspondence, chat transcripts, support tickets, call notes, survey responses, feedback, feature requests, troubleshooting information, attachments, and other information you choose to share.

3.5 Platform Content, Prompts, and AI Inputs/Outputs
When you use AdPrompt's AI-powered features, we may collect and process information you submit to or generate through the Platform, including prompts, instructions, campaign briefs, business descriptions, target audience descriptions, landing page copy, creative assets, images, logos, brand guidelines, ad copy, social media copy, campaign plans, generated content, AI recommendations, edited outputs, user approvals or rejections, performance feedback, and other content created, uploaded, or processed through the Platform.

3.6 Customer Data Processed on Behalf of Customers
Customers may upload, connect, or transmit Customer Data to the Platform. Customer Data may include customer lists, prospect lists, CRM records, email addresses, phone numbers, hashed identifiers, customer IDs, lead records, transaction records, purchase events, conversion events, website events, app events, form submissions, audience segments, suppression lists, attribution data, campaign performance data, first-party pixel or tag events, page views, clicks, impressions, conversions, metadata associated with ad interactions, campaign-level reporting data, and other information customers choose to provide or connect. Customers are responsible for ensuring that Customer Data is collected and used lawfully, including by providing any required notices and obtaining any required consents or opt-ins.

3.7 Integration Information
If you connect AdPrompt to third-party platforms, we may collect and process information necessary to operate the integration, including account IDs, authentication tokens, permissions, connected ad account information, connected social media account information, connected CRM fields, campaign IDs, audience IDs, pixel IDs, analytics IDs, metadata from connected accounts, performance reports, spend data, conversion data, creative asset IDs, status information, and information returned by the connected third-party service.

3.8 Usage, Device, and Technical Information
We and our service providers may collect technical and usage information when you visit our sites or use the Platform, including IP address, browser type and settings, operating system, device type, device identifiers, mobile identifiers, referring and exit pages, pages viewed, features used, links clicked, session duration, timestamps, language settings, approximate location inferred from IP address, diagnostic data, crash reports, logs, authentication events, security events, and similar technical information.

3.9 Cookies, Pixels, Local Storage, and Similar Technologies
We may use cookies, pixels, local storage, SDKs, tags, scripts, and similar technologies to operate the sites and Platform, keep you logged in, remember preferences, secure accounts, prevent fraud, measure usage, improve product performance, analyze traffic, support customer communications, understand marketing effectiveness, provide or measure advertising, and support integrations. 3.10 Information from Third Parties
We may receive information from third parties, including connected advertising platforms, connected CRM systems, analytics providers, payment processors, identity and authentication providers, business partners, referral partners, data enrichment providers, public websites, business directories, social media platforms, marketing vendors, customer support tools, and other third parties. We may combine information received from third parties with information we collect directly from you or through the Platform.

3.11 Aggregated, De-Identified, or Anonymized Information
We may aggregate, de-identify, or anonymize Personal Information or Customer Data so that it is no longer reasonably capable of identifying a particular individual, household, customer, or end user. We may use and disclose aggregated, de-identified, or anonymized information for lawful purposes, including improving the Platform, developing new features, training and evaluating models, analyzing trends, generating benchmarks, measuring campaign performance, publishing insights, security analysis, and business intelligence. We will not attempt to re-identify information that we maintain as de-identified, except as permitted by law.

3.12 Sensitive Personal Information
The Services are not designed for the collection or processing of sensitive personal information unless expressly agreed in writing. You should not submit sensitive personal information to the Platform unless you have obtained all required consents and we have agreed to process that information. Sensitive personal information may include government identification numbers, precise geolocation, health information, financial account credentials, biometric information, genetic information, racial or ethnic origin, religious or philosophical beliefs, union membership, sexual orientation, citizenship or immigration status, information about children, contents of private communications not directed to AdPrompt, and other information treated as sensitive under applicable law.

5. HOW WE USE INFORMATION

We use the information we collect for the purposes described below.

5.1 To Provide and Maintain the Services
We use information to create and manage accounts, authenticate users, provide access to the Platform, configure workspaces, enable collaboration, provide customer support, process billing and payments, send transactional messages, maintain integrations, operate dashboards, manage campaigns, generate reports, provide analytics, troubleshoot issues, process customer instructions, and perform other activities necessary to provide the Services.

5.2 To Plan, Create, Launch, Manage, and Measure Campaigns
We use information to help customers build campaign plans, create campaign briefs, generate creative ideas, draft ad copy, manage budgets, select channels, configure audiences, coordinate ad spend, connect third-party platforms, launch campaigns, monitor performance, analyze outcomes, measure conversions, attribute results, optimize campaigns, and prepare reports.

5.3 To Provide AI-Powered Features
AdPrompt uses machine learning, large language models, predictive systems, optimization systems, and other AI-related technologies to support marketing and advertising workflows. AI-powered features may help generate campaign ideas, draft ad copy, suggest creative concepts, recommend audiences, recommend channels, recommend budget allocations, summarize performance, identify optimization opportunities, produce marketing plans, generate social media content, create landing page copy, analyze campaign performance, recommend next-best actions, and automate or assist marketing workflows.

5.4 AI Training, Model Improvement, and Customer Data Protections
We are careful about how we use data for AI and model improvement. Unless we separately agree with you in writing or obtain your express permission:
- We do not use identifiable Customer Data to train general-purpose AI models.
- We do not use uploaded customer lists to build, enrich, or target audiences for other customers.
- We do not use identifiable CRM records, customer lists, pixel events, or end-user personal information to create cross-customer audience segments.
- We do not use Customer Data to allow one customer to identify, target, or learn about another customer's customers or end users.
- We do not sell Customer Data.
- We do not disclose Customer Data to third parties except as needed to provide the Services, as instructed by the customer, as permitted by agreement, or as required by law.

We may use the following types of information to improve the Platform, including AI-powered features: campaign settings, campaign performance metrics, aggregated usage patterns, feature interaction data, de-identified campaign data, anonymized or aggregated Customer Data, model evaluation feedback, AI output quality ratings, product telemetry, and other data that is not reasonably capable of identifying an individual, household, customer, or end user.

5.5 Third-Party AI Providers
We may use third-party AI infrastructure providers, model providers, cloud providers, or related vendors to operate AI-powered features. When we use these providers, we take reasonable steps designed to ensure that they process data only to provide services to AdPrompt and protect it appropriately. We do not permit third-party AI providers to use identifiable Customer Data to train their general-purpose models unless: (a) we have disclosed that use; (b) we have obtained any required consent or authorization; (c) the use is permitted under the applicable customer agreement; and (d) the use complies with applicable law.

5.6 To Improve and Develop the Services
We use information to analyze product usage, identify feature performance, develop new features, improve usability, test and debug functionality, improve campaign recommendations, evaluate AI output quality, monitor model performance, conduct research and development, improve security, and enhance the effectiveness of the Services.

5.7 To Communicate With You
We use information to respond to inquiries, provide support, send service-related messages, send billing notices, send security notices, send product updates, invite you to beta programs, request feedback, provide educational content, send newsletters, and send marketing communications in accordance with your preferences and applicable law. You may opt out of marketing emails at any time by using the unsubscribe link in the email or contacting us. You may still receive transactional or service-related communications even if you opt out of marketing messages.

5.8 For Security, Fraud Prevention, and Compliance
We use information to protect accounts, detect unauthorized access, prevent fraud, monitor abuse, investigate suspicious activity, enforce our agreements, comply with legal obligations, respond to legal process, protect our rights, protect customers and users, maintain business records, and ensure Platform integrity.

6. CUSTOMER RESPONSIBILITIES

Customers are responsible for ensuring that campaigns created, launched, or managed through the Services comply with applicable laws and platform rules. This may include laws and rules related to email marketing, SMS marketing, telemarketing, consent, unsubscribe mechanisms, advertising claims, endorsements and testimonials, consumer protection, political advertising, regulated industries, privacy, data protection, and platform-specific advertising policies. AdPrompt may provide tools or recommendations, but customers are responsible for reviewing and approving campaign content, targeting, audience use, claims, and compliance before launch.

7. COOKIES AND SIMILAR TECHNOLOGIES

We and our service providers use cookies, pixels, web beacons, local storage, SDKs, tags, scripts, and similar technologies on our sites and Platform. These technologies help us operate the Sites, keep you logged in, remember preferences, secure accounts, prevent fraud, measure usage, analyze traffic, support communications, understand marketing effectiveness, provide or measure advertising, and support integrations.

You can control cookies through your browser settings and, where available, through our cookie banner, consent management tool, or privacy settings. You may also use legally recognized opt-out preference signals, such as Global Privacy Control, where required by law. Please note that disabling certain cookies may affect the functionality of the Sites or Platform.

8. HOW WE DISCLOSE INFORMATION

We may disclose information in the following circumstances:

- Service Providers and Subprocessors: We may share information with vendors and service providers that help us operate the Platform, including cloud hosting providers, payment processors, analytics providers, email and communication providers, customer support tools, security vendors, AI infrastructure providers, and other technology providers.
- Connected Platforms: When you connect your account to third-party advertising platforms, social networks, CRM systems, analytics tools, or other services, we share information as necessary to operate the integration and execute your instructions.
- Business Transfers: If AdPrompt is involved in a merger, acquisition, financing, reorganization, bankruptcy, or sale of assets, your information may be transferred as part of that transaction.
- Legal Requirements: We may disclose information to comply with applicable laws, regulations, legal process, or governmental requests; to enforce our agreements; to protect the safety, rights, or property of AdPrompt, our customers, or others; or to detect, prevent, or respond to fraud, security incidents, or harmful activity.
- With Your Consent: We may share information with your consent or at your direction.
- Aggregated or De-Identified Information: We may share aggregated or de-identified information that cannot reasonably identify you.

9. SALE, SHARING, AND TARGETED ADVERTISING

We do not sell Personal Information for money. If our use of cookies, pixels, or similar technologies through advertising partners is deemed a "sale," "sharing," or use for "targeted advertising" or "cross-context behavioral advertising" under applicable privacy laws, you may opt out as described in Your Privacy Choices below.

10. DATA RETENTION

We retain Personal Information for as long as necessary to provide the Services, maintain our business relationship with you, comply with legal obligations, resolve disputes, prevent fraud, enforce agreements, and fulfill other legitimate business purposes. The appropriate retention period depends on the nature of the information, the purpose for which it was collected, and applicable legal requirements. Customer Data is retained according to the applicable customer agreement, Data Processing Addendum, customer instructions, Platform settings, and legal requirements.

11. SECURITY

We implement reasonable administrative, technical, and physical safeguards designed to protect information against unauthorized access, disclosure, alteration, and destruction. However, no security measures are perfect or impenetrable, and we cannot guarantee that information will not be accessed, disclosed, altered, or destroyed in the event of a breach or unauthorized access. You are responsible for maintaining the security of your account credentials.

12. DATA PROCESSING ADDENDUM AND SUBPROCESSORS

Where required by applicable law or customer agreement, AdPrompt offers or enters into a Data Processing Addendum that governs our processing of Customer Data. Our Data Processing Addendum may address processing instructions, confidentiality, security measures, subprocessors, international transfers, assistance with data subject requests, breach notification, deletion or return of Customer Data, audits, and restrictions on use of Customer Data.

We may use subprocessors to provide the Services. Subprocessors may include cloud hosting providers, infrastructure providers, analytics providers, AI infrastructure providers, payment processors, support tools, security tools, and other vendors. Customers may request current subprocessor information by contacting legal@adprompt.ai.

13. INTERNATIONAL DATA TRANSFERS

AdPrompt is based in the United States. If you access the Services from outside the United States, your information may be processed in the United States and other countries where we or our service providers operate. These countries may have privacy and data protection laws that differ from the laws in your jurisdiction. Where required by applicable law, we use appropriate safeguards for international transfers, which may include contractual protections, data processing agreements, standard contractual clauses, or other legally recognized transfer mechanisms.

14. YOUR PRIVACY CHOICES

14.1 Account Settings
You may be able to access, update, or delete certain account information through your account settings.

14.2 Marketing Communications
You may opt out of marketing emails by using the unsubscribe link in our emails or contacting us at legal@adprompt.ai. Even if you opt out of marketing communications, we may still send transactional, administrative, security, legal, or service-related messages.

14.3 Cookies and Tracking
You can control cookies through your browser settings and, where available, through our cookie banner, consent management tool, or privacy settings. You may also use legally recognized opt-out preference signals, such as Global Privacy Control, where required by law.

14.4 Connected Platforms
You may be able to disconnect third-party integrations through the Platform or through the third-party platform's own settings. Disconnecting an integration may limit or prevent certain Services from functioning.

14.5 Customer Data Requests
If you are an individual whose information has been submitted to AdPrompt by one of our customers, please contact that customer directly to exercise your rights. Because we process Customer Data on behalf of our customers, we may refer your request to the relevant customer or process your request according to the customer's instructions.

15. U.S. STATE PRIVACY RIGHTS

Depending on your state of residence and subject to applicable limitations, you may have some or all of the following rights:
- The right to confirm whether we process your Personal Information
- The right to access your Personal Information
- The right to receive a copy of your Personal Information in a portable format
- The right to correct inaccurate Personal Information
- The right to delete Personal Information
- The right to opt out of sale of Personal Information
- The right to opt out of sharing of Personal Information
- The right to opt out of targeted advertising
- The right to opt out of certain profiling or automated decision-making activities

15.1 How to Exercise Your Rights
You may exercise your rights by contacting us at legal@adprompt.ai. Please include your name, email address, state or country of residence, the right you wish to exercise, and enough information for us to verify and process your request. We may need to verify your identity before responding.

15.2 Authorized Agents
Where permitted by law, you may designate an authorized agent to submit a request on your behalf. We may require proof that you authorized the agent to act on your behalf and may also require you to verify your identity directly with us.

15.3 Appeals
If we deny your privacy request and applicable law gives you a right to appeal, you may appeal by contacting us at legal@adprompt.ai and stating that you are appealing a privacy rights decision.

15.4 Non-Discrimination
We will not discriminate against you for exercising your privacy rights.

16. CALIFORNIA PRIVACY NOTICE

This section applies to California residents and supplements the rest of this Privacy Policy. California residents may have the right to: know what Personal Information we collect, use, disclose, sell, or share; access Personal Information; request deletion; request correction; opt out of sale or sharing; limit certain uses of sensitive personal information, where applicable; and not be discriminated against for exercising privacy rights. 17. AUTOMATED DECISION-MAKING, PROFILING, AND AI RECOMMENDATIONS

AdPrompt uses automated systems, including AI-powered features, to generate recommendations, insights, and campaign suggestions. These systems analyze information such as business profile data, campaign performance data, usage data, and other Platform information to provide personalized recommendations. These recommendations are intended to assist users and are subject to human review and approval before implementation. Where required by applicable law, you may have the right to opt out of certain automated decision-making or profiling activities.

18. THIRD-PARTY WEBSITES AND SERVICES

The Services may link to or integrate with third-party websites, platforms, applications, services, or tools. This Privacy Policy does not apply to third-party services. Third parties process information according to their own privacy policies and terms. We are not responsible for the privacy practices of third-party services. You should review the privacy policies and terms of any third-party services you use or connect to AdPrompt.

19. CHILDREN'S PRIVACY

The Services are not directed to children under the age of 13, and we do not knowingly collect Personal Information from children under 13. If we learn that we have collected Personal Information from a child under 13, we will take steps to delete that information. 20. EMAIL, SMS, AND ADVERTISING COMPLIANCE

Customers are responsible for ensuring that campaigns created, launched, or managed through the Services comply with applicable email marketing, SMS, telemarketing, and advertising laws and platform rules. AdPrompt may provide tools or recommendations, but customers are responsible for reviewing and approving campaign content, targeting, audience use, claims, and compliance before launch.

21. DATA DELETION AND ACCOUNT CLOSURE

You may request deletion of your account or certain Personal Information by contacting us at legal@adprompt.ai. If you close your account, we may retain certain information as necessary to complete transactions, provide final invoices, comply with legal obligations, resolve disputes, prevent fraud, enforce agreements, maintain security, preserve business records, and comply with customer agreements. Customer Data will be deleted, returned, or retained according to the applicable customer agreement, Data Processing Addendum, customer instructions, Platform settings, and legal requirements.

22. CHANGES TO THIS PRIVACY POLICY

We may update this Privacy Policy from time to time. When we make material changes, we will update the Last Updated date and, where required by law or appropriate, provide additional notice such as by email, in-product notice, or website notice. Your continued use of the Services after an updated Privacy Policy becomes effective means that you acknowledge the updated Privacy Policy. We encourage you to review this Privacy Policy periodically.
